Transfers of small items to Eltham are available by request – Must be collected within 14 days of arrival.
Definitions:

Company: ACMI Group Pty Ltd, trading as Yeomans Bagno Ceramiche (ACN 58 602 137 879).

Goods: All products supplied by the Company, including, but not limited to, tiles, bathware, stone, timber, and related items.

Purchaser: The buyer named on the invoice.
Formation of Agreement:

By receiving a Quotation, the Customer agrees to purchase Products/Services based on:

These Terms.

The Price List or Quotation.
-
The Quotation is valid for 30 days, during which the Customer can accept it in writing.

Acceptance of the Quotation means agreeing to these Terms, the Price List, or the Quotation, and placing an Order.

The Quotation is not an obligation to supply; the Company can accept or reject Orders at its discretion.
Agreement Formation: An Agreement is formed when the Company:

Confirms the Order in writing.
-
Accepts full or partial payment.
-
Provides the Products.
-
Performs the Services.
The Agreement includes:

These Terms.
-
Any Trading Account Terms (if applicable).
-
The Price List or Quotation.
-
The Invoice.
Purchaser Responsibilities:

Goods ordered must be collected within 30 days or must be paid in full

No quality or shade claims after products are fixed; inspect before installation.
-
Samples and showroom displays are for reference only.
-
No responsibility for goods in transit by the Purchaser’s means.
-
Returns are subject to supplier terms and conditions.
-
Prices and availability can change without notice.
-
Yeomans takes no responsibility for errors in meterage calculations.
-
The Purchaser is responsible for ordering the correct quantity.

To secure sale pricing Payment is required in full.

Goods not picked up within 6 weeks incur a $20 weekly storage fee per pallet.

Cancellation or change of mind incurs a 25% handling charge plus return delivery fees.

Returns are only accepted if goods are unmarked, unbroken, and in saleable condition, within 30 days of delivery. Freight and handling charges apply.

Returns are not accepted for discounted, clearance, or custom items.

The Purchaser is responsible for ensuring the products are suitable for their intended use.
Warranty:

The Company warrants that products are defect-free and fit for normal use, however;

All product warranties are in accordance with supplier stipulations. The supplier, not Yeomans, assumes the responsibility and liability for product warranties.

No responsibility for damage due to incorrect installation.
-
Defective goods are sold as-is, including display or clearance items.
-
The Company is not liable for any loss or damage due to defects or negligence.
-
No implied warranties unless stated in writing.
Returns for Credit:
-
Returns are accepted if:
-
Goods are in original packaging and unmarked.
-
For tiles, timber, and stone sold by m² or full boxes, at least 3 boxes are required.

Accompanied by the Purchaser’s invoice.
-
Goods are saleable and match current stock.
-
Returned within 30 days of delivery.
-
Freight and handling charges apply.
-
Returns are not accepted for discounted, clearance, or custom items.
-
The Company may refuse returns not meeting these conditions.
General:
-
The Company is not liable for damage or loss caused by third parties.
-
The Company is not responsible for damage from incorrect product use.
Delivery:
-
Deliveries are handled by a third party; a 3-day lead time is required.
-
Delivery schedules are confirmed only after full payment.
-
Orders cannot be suspended or cancelled; reasonable costs for suspension/cancellation are the Customer’s responsibility.

Refusal or failure to accept delivery results in full payment and possible cancellation of the remaining order.

The Company may store unaccepted goods at the Customer’s cost.
-
Delivery dates and times are estimates; the Company is not liable for delays.
Retention of Title & Security Interest:

Title to Goods remains with the Company until full payment is received.

If the Purchaser fails to pay, the Company can reclaim the Goods and enter the Purchaser’s premises.

Payment is due immediately if the Purchaser’s solvency is in question.
-
Proceeds from resale of Goods must be held separately for the Company.

The Company can register a security interest under the PPSA (Personal Property Securities Act 2009).
Security Interest:

Terms are defined by the PPSA.
-
The Purchaser grants a security interest and PMSI in the Goods.
-
The Company may register the security interest and the Purchaser must cover related costs.
-
The Purchaser waives rights under certain PPSA sections and will not receive copies of statements
-
The Purchaser cannot sell or grant other security interests in the Goods until all payments are made
